1. Acceptance of Terms

By creating an account, accessing, or using SpinPro ("the Platform"), you agree to these Terms & Conditions. By clicking "I Agree", you provide an electronic signature as defined under the Electronic Communications and Transactions Act 25 of 2002 (ECTA).

You must be 18 years or older to use the Platform. If you are under 18, a parent or legal guardian must consent to your use.

If you do not agree with these Terms, please do not use the Platform.

2. Intellectual Property Rights

2.1 Platform Ownership: All content, software, designs, databases, features, and functionality on SpinPro are owned by SpinPro or its licensors and are protected by South African and international copyright, trademark, and intellectual property laws.

2.2 User Content: You retain ownership of any content you upload (e.g., tournament data, player profiles, match results). By submitting content, you grant SpinPro a non-exclusive, royalty-free, worldwide licence to use, store, display, and process that content for the purpose of operating, improving, and promoting the Platform. You confirm that any content you upload does not infringe the rights of any third party.

2.3 Prohibited Use: You may not copy, distribute, modify, or create derivative works of any part of the Platform unless expressly permitted in writing by SpinPro.

2.4 Trademarks: "SpinPro" and associated logos are trademarks of SpinPro. You may not use these marks without prior written permission.

3. Confidentiality & Platform Integrity

3.1 Confidential Information: While using SpinPro, you may encounter non-public information relating to the Platform's technology, algorithms, database structures, or future features ("Confidential Information").

3.2 Your Obligations: You agree to:

• Keep Confidential Information private
• Not disclose it to third parties
• Not attempt to reverse engineer, decompile, or extract source code
• Not attempt to bypass security or access restricted areas of the Platform

3.3 Fairness Clause: This clause does not prevent you from building your own software or competing products — it only prevents misuse of SpinPro's proprietary information.

3.4 Duration: These confidentiality obligations survive termination of your account for five (5) years.

4. User Accounts & Responsibilities

4.1 Account Security: You are responsible for keeping your login details secure and for all activity under your account.

4.2 Accurate Information: You agree to provide accurate and up-to-date information. SpinPro may request verification where required by law or for platform integrity.

4.3 Prohibited Conduct: You may not:

• Use the Platform for unlawful purposes
• Upload harmful, defamatory, or infringing content
• Attempt to access data or systems you are not authorised to access
• Interfere with the operation or security of the Platform

5. Data Protection & Privacy

SpinPro processes personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA).

By using SpinPro, you consent to the processing of your personal information as described in the Privacy Policy.

6. Limitation of Liability

To the extent permitted by South African law:

• SpinPro is provided "as is" and we do not guarantee uninterrupted or error-free operation.
• We are not liable for indirect, incidental, or consequential damages arising from your use of the Platform.

7. Termination

We may suspend or terminate your account if you violate these Terms or misuse the Platform. Upon termination:

• Your access to the Platform will cease
• SpinPro may retain certain data where required by law or for legitimate business purposes
• Tournament and match data may remain visible to preserve historical records
• Sections relating to Intellectual Property, Confidentiality, and Liability will continue to apply

8. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts.

9. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform before they take effect. Continued use of the Platform after changes means you accept the updated Terms.
